Terms of Sale & Website Terms
Quotations, orders, delivery, inspection, liability and dispute resolution.
These terms apply to quotations, sales and export business of Quzhou Guangyuan Chemical Trading Co., Ltd. and also govern use of this website. The conditions of any particular transaction are those set out in the contract and order agreed between the parties.
1. Nature of the website content
Product information, technical parameters, images and descriptions on this website are provided for general reference only and do not constitute an offer, commitment or warranty. Grades, specifications, packaging, delivery terms and prices are governed by the contract, order and official TDS agreed between the parties.
2. Quotations and orders
Unless stated otherwise, quotations are valid for 15 days from issue. Orders take effect when confirmed by us in writing. We may revise a quotation following changes in raw-material prices, exchange rates, freight or regulation, and will notify the customer promptly.
3. Price, payment and delivery
- Price terms: the agreed Incoterms 2020 rule applies, as specified in the contract.
- Payment: bank transfer (T/T) or another method agreed between the parties; new customers are normally asked to pay in advance or partly in advance.
- Delivery and risk: risk passes at the point specified by the agreed Incoterm; lead time runs from receipt of the advance payment and, where required, from obtaining the necessary export licence.
4. Inspection and quality
The customer should inspect the goods within 15 days of receipt and raise any quality claim in writing; failing that, the quantity and apparent quality are deemed accepted. Our quality assurance covers conformity of the technical parameters with the applicable TDS under normal storage and use conditions; losses caused by improper storage, non-compliant processing or use in unsuitable applications are excluded. Except where mandatory law provides otherwise, our liability in respect of any order is limited to the value of that order.
5. Export and compliance condition
Every transaction is conditional on compliance with export control, economic sanctions, hazardous chemicals regulation and related import and export laws. We may refuse, suspend or terminate an order in order to meet our compliance obligations without liability to the customer for doing so.
6. Force majeure
Neither party is liable for failure or delay in performance caused by force majeure, including natural disasters, epidemics, war, strikes, acts of government or regulators, export-control measures, and energy or logistics disruption. The affected party will notify the other promptly and use reasonable efforts to mitigate the impact.
7. Intellectual property and trademarks
Product grades, trademarks, images and technical materials appearing on this website belong to their respective owners, and their appearance here does not transfer or license any right. No one may copy, adapt or commercially exploit them without written permission.
8. Governing law and dispute resolution
These terms and any dispute arising out of them are governed by the laws of the People's Republic of China (excluding conflict-of-law rules). The parties will first seek an amicable settlement; failing that, the dispute will be referred to the Quzhou Arbitration Commission in accordance with its rules, or to the competent People's Court, as stipulated in the contract.
